Terms of Service

1. Agreement and eligibility

These Terms of Service (“Terms”) are an agreement between you and Offload, an independent software product operated from India (“Offload”, “we”, “us”, or “our”). They govern the Offload website, waitlist and beta application process, beta programs, and Android application (together, the “Service”).

By accessing the Service, creating an account, purchasing a subscription, or submitting a beta application, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and legally capable of entering into this agreement. You may use the Service only where permitted by law. Availability in a location does not mean that every feature, plan, or support option is offered there.

2. Accounts and account security

You must provide accurate information, keep your Google account secure, and promptly tell us about suspected unauthorized use. You are responsible for activity through your account unless caused by our breach of these Terms or applicable law.

Accounts are personal and may not be sold, shared, or transferred without our written permission. We may refuse or limit account creation where reasonably necessary to operate or protect the Service, administer a beta program, prevent fraud, or comply with law.

3. Service availability and beta features

The production application may coexist with optional closed-testing programs, beta builds, or prerelease features. Participation in a beta program may be invite-only, limited, and revocable, but those restrictions do not describe every Offload account or production release.

Beta builds and prerelease features may change, fail, contain defects, reset test data, or be withdrawn. They may be subject to additional instructions or limitations. We do not promise uninterrupted availability, a service-level commitment, or a guaranteed support response for any part of the Service.

We may add, change, suspend, limit, or discontinue features or plans. Changes to paid plans or pricing apply prospectively, subject to app-store requirements, appropriate notice, and applicable law. No particular free or paid feature is guaranteed to remain available permanently.

4. Free Pro trial

Each eligible account may activate one 30-day Offload Pro trial. This is an Offload-managed, no-card trial and is not a Google Play subscription trial. No payment method is required, starting the trial does not create a subscription, the trial does not automatically renew or convert into a paid plan, and you will not be automatically charged when it ends.

Trial eligibility may be limited to one trial per account. We may use reasonable measures to prevent repeated, fraudulent, or abusive trial activation. When the trial expires, some Pro capabilities become unavailable or limited unless you separately purchase a subscription. The app displays your current access state and current feature availability.

5. Paid subscriptions and billing

Offload may offer monthly and annual auto-renewing subscriptions through Google Play. A purchase is governed by these Terms, the offer displayed in the app, the Google Play purchase interface, applicable Google Play terms, and applicable consumer law. The localized price, currency, taxes where applicable, billing period, and subscription details shown by Google Play when you purchase control over conflicting promotional copy.

You must explicitly confirm a subscription through the Google Play purchase interface. Google Play processes payment, and Offload does not receive your complete payment-card or bank-account details. Paid subscriptions renew automatically until cancelled.

You can manage or cancel a subscription through Google Play. Cancellation normally takes effect at the end of the current billing period, and you ordinarily retain paid access through the paid-through date. Refunds and any right to immediate cancellation are governed by Google Play policies and applicable law.

Deleting the app or your Offload account does not cancel a Google Play subscription. If you want to prevent future renewals, cancel the subscription through Google Play before deleting your account.

We may suspend or remove paid access after payment failure, refund, revocation, subscription expiry, fraud, or abuse. We may correct entitlement errors, reconcile access across devices, and prevent unauthorized subscription transfers. Plan, feature, or price changes apply prospectively with notice required by store rules and applicable law.

6. Your content and permissions

You retain ownership of content you submit. You grant Offload a limited, non-exclusive, worldwide license to host, copy, transmit, organize, index, retrieve, and display that content to you, and otherwise process it only as needed to operate, secure, troubleshoot, and improve the Service or comply with law. This license ends when content is deleted, subject to reasonable technical retention and legal requirements described in the Privacy Policy.

You represent that you have the rights and permissions needed to submit your content and allow this processing. If content concerns another person, you are responsible for providing required notices and obtaining required consent.

Offload does not use your memories to train its own AI models and does not authorize service providers to use your content to train general-purpose AI models. Providers process content only to supply contracted services, maintain safety, and prevent abuse, subject to their agreements, applicable policies, and Offload’s configured controls.

7. Acceptable use

You may not use the Service to:

• break the law or facilitate fraud, abuse, exploitation, or harm;
• upload illegal content, malware, malicious code, or material that infringes privacy, intellectual-property, or other rights;
• harass, threaten, impersonate, deceive, or unlawfully monitor another person;
• attempt unauthorized access, bypass security or usage limits, probe vulnerabilities, or disrupt the Service;
• reverse engineer or extract source code except where applicable law expressly permits it;
• resell, sublicense, scrape, or use automated means to access the Service without written permission; or
• use outputs or reminders for emergency response, medical diagnosis, legal representation, financial trading, safety-critical systems, or other high-risk activity.

We may investigate suspected violations and remove content or restrict access where reasonably necessary, while respecting applicable law.

8. Important service limitations

No end-to-end encryption

Your memories are not end-to-end encrypted. Offload and authorized AI, storage, and memory-processing providers must process content in readable form. Do not submit passwords, authentication codes, bank or payment details, government identifiers, highly sensitive health data, or other secrets.

AI results can be wrong

AI-generated summaries, extracted details, search results, and responses may be inaccurate, incomplete, outdated, or unrelated. Always inspect source material and independently verify information before relying on it.

Reminders are not guaranteed

Notifications may be delayed or never delivered because of device settings, network conditions, provider outages, software errors, or other causes. Maintain another reminder method for anything important or time-sensitive.

Not professional or emergency advice

The Service does not provide medical, legal, financial, tax, mental-health, or other professional advice and must not be used to contact emergency services. Seek a qualified professional or the appropriate emergency service when needed.

Not a backup service

Offload is designed for recall and organization, not archival storage. Keep independent copies of documents and information you cannot afford to lose.

9. Third-party services and content

The Service depends on third-party providers described in our Privacy Policy. Their availability, security, retention, and processing practices are partly outside our control and governed by their agreements with us and applicable policies.

Links, previews, and extracted content may originate from third parties. We do not endorse or control third-party content and are not responsible for its accuracy, legality, continued availability, or independent privacy practices.

Nothing in these Terms excludes Offload’s responsibilities that cannot lawfully be excluded, including applicable data-protection obligations concerning processors acting on our behalf.

10. Offload software and feedback

Except for your content, Offload and its licensors own the Service, including its software, interface, branding, design, and documentation. Subject to these Terms, we give you a personal, limited, revocable, non-exclusive, non-transferable license to use the Service.

If you provide ideas or feedback, you allow us to use them without restriction or compensation. This does not give us ownership of your memories or other submitted content.

11. Privacy

Our Privacy Policy explains what information we collect and how we use, disclose, retain, and protect it. Please read it carefully, especially the explanation that memories are not end-to-end encrypted.

12. Suspension, termination, account deletion, and subscriptions

Stopping use of the Service, deleting your Offload account, and cancelling a Google Play subscription are separate actions. You may stop using the Service at any time. To delete your account in the app or submit an external request when you cannot access the app, follow our account-deletion instructions. To stop subscription renewal, cancel through Google Play.

We may suspend or terminate access if you breach these Terms, create risk or legal exposure, abuse the Service, fail to pay for a paid plan, or if continuing the Service is no longer commercially or technically practical. Where reasonable, we will notify you and allow an opportunity to address the issue, but we may act immediately for security, legal, or safety reasons.

After termination, your license and access rights end. Account data is handled as described in the Privacy Policy, while app stores and subscription-management providers may retain purchase records for billing, refunds, reconciliation, fraud prevention, disputes, or legal compliance. Provisions intended by their nature to survive—including ownership, disclaimers, liability limits, indemnity, payment obligations, and dispute terms—remain effective.

13. Disclaimers and limitation of liability

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, non-infringement, and uninterrupted or error-free operation.

To the maximum extent permitted by law, Offload will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss; loss of data, profits, revenue, goodwill, or opportunity; or harm resulting from reliance on AI output, reminder delivery, third-party content, or events outside our reasonable control.

To the maximum extent permitted by law, Offload’s total liability arising from the Service or these Terms will not exceed the greater of the amount you paid for the Service in the 6 months before the event giving rise to the claim and INR 1,000.

These exclusions and limits do not apply where prohibited by law and do not exclude liability for fraud, wilful misconduct, or any other liability that cannot legally be limited. Your mandatory consumer and data-protection rights remain unaffected.

Indemnity

To the extent permitted by law, you will indemnify Offload against third-party claims and reasonable costs arising from your unlawful content, your infringement of another person’s rights, or your material violation of these Terms. This does not apply to claims caused by Offload’s own unlawful conduct.

14. Changes to the Service or these Terms

We may update these Terms to reflect product, provider, subscription, legal, or security changes. We will update the date above and provide reasonable notice of material changes through the Service or by email where practical. If you do not agree to revised Terms, stop using the Service and cancel any subscription. Changes do not retroactively reduce rights that cannot legally be waived.

15. Governing law and general terms

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to any mandatory consumer forum or jurisdiction available to you, courts located in Bengaluru, Karnataka will have exclusive jurisdiction over disputes.

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written permission; we may assign them as part of a reorganization or transfer of the Service. These Terms and the Privacy Policy form the entire agreement concerning the Service unless separate written terms apply.
